1. Acceptance of Terms

3. Client Responsibilities

As our client, you agree to:

• Provide accurate and complete information about your business
• Cooperate fully with our consulting team
• Make key personnel available for meetings and consultations
• Provide timely feedback on deliverables and recommendations
• Maintain confidentiality of proprietary consulting methodologies
• Pay all fees according to the agreed payment terms
• Use our services in compliance with applicable laws and regulations

4. Payment Terms

Fees and Payment

• All fees are specified in our service agreements and are due according to the payment schedule outlined therein
• Payment is typically due within 30 days of invoice date unless otherwise agreed
• Late payments may incur additional charges as specified in the service agreement
• All fees are non-refundable except as specifically provided in the service agreement

Currency and Taxes

• All fees are quoted in the currency specified in the service agreement
• Client is responsible for all applicable taxes, duties, and government fees
• Prices may be subject to change with 30 days written notice

5. Intellectual Property

Our Intellectual Property

All content on our website, including but not limited to text, graphics, logos, images, methodologies, tools, and software, is the property of BizSkillMastery and is protected by applicable intellectual property laws.

Client Intellectual Property

All client information, data, and intellectual property shared with us remains the property of the client. We will not use such information for any purpose other than providing the agreed services.

Work Product

Deliverables created specifically for a client become the property of that client upon full payment. However, we retain the right to use general methodologies, concepts, and know-how for other clients.

6. Confidentiality

We understand that you may share confidential information with us during the course of our engagement. We commit to:

• Maintain strict confidentiality of all client information
• Use client information only for the purposes of providing our services
• Implement appropriate security measures to protect confidential information
• Not disclose client information to third parties without explicit consent
• Return or destroy confidential information upon request or completion of services

This confidentiality obligation survives the termination of our service agreement.

7. Limitation of Liability

Our consulting services are provided on an advisory basis. While we strive to provide accurate and valuable advice, the implementation and results depend on many factors beyond our control.

• We make no warranties or guarantees about specific business outcomes
• Our liability is limited to the total fees paid for the specific engagement
• We are not liable for indirect, special, or consequential damages
• Client is responsible for all business decisions and their consequences
• Our advice is based on information provided by the client at the time of engagement

8. Termination

Either party may terminate a consulting engagement with written notice as specified in the service agreement. Upon termination:

• All outstanding fees become immediately due and payable
• We will deliver all completed work product
• Both parties' confidentiality obligations continue
• We will return or destroy client confidential information as requested

We reserve the right to terminate our relationship immediately if there is a material breach of these terms.

9. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of Azerbaijan. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Azerbaijan.

10. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after such changes constitutes acceptance of the new terms.

For material changes, we will provide reasonable notice to existing clients.
